지적재산권

VectorBuilder는 고객이 지정한 대로 커스텀 유전자 전달 벡터를 제작하는 위탁 제조회사입니다. 이러한 벡터의 제조는 VectorBuilder가 벡터에 대한 지적재산권을 소유하거나, 고객에게 해당 권리를 이전할 수 있다는 것을 의미하지 않습니다. 대신, 아래에 설명된 대로 벡터에 VectorBuilder 또는 제3자가 소유한 특정 지적재산권이 포함된 경우를 제외하고는, 당사는 고객이 커스텀 제작 벡터와 관련된 디자인 및 모든 지적재산권을 소유한다고 간주합니다. VectorBuilder is a contract manufacturer that creates custom gene delivery vectors as specified by its customers. The manufacturing of such vectors does not imply that VectorBuilder owns any intellectual property rights to the vectors or can transfer said rights to its customers. Instead, we consider that the customers own the designs and all the intellectual property rights associated with their custom-built vectors, except when the vectors contain specific intellectual properties owned by VectorBuilder or third parties as described below.

• VectorBuilder의 온라인 벡터 디자인 플랫폼에서 표준 구성요소로 제공되지 않는 고객이 지정한 서열을 포함하는 벡터는 고객의 지시가 없는 한 제3자에게 공유되지 않습니다.  Vectors containing any customer-specified sequences not available as standard components on VectorBuilder’s online vector design platform will not be shared with any third party unless instructed by the customer.
• VectorBuilder가 제공하는 벡터나 시약을 활용하여 고객이 생성한 데이터, 발견, 발명과 같은 지적재산권은 서비스 계약에 달리 규정되어 있지 않는 한 고객의 소유입니다.  Any intellectual property, such as data, discoveries, and inventions generated by the customer utilizing vectors or reagents provided by VectorBuilder, belongs entirely to the customer unless stipulated differently in the service agreement.
• VectorBuilder의 온라인 플랫폼에서 디자인되고 플랫폼에서 사용 가능한 표준 구성요소로만 구성된 벡터는 VectorBuilder의 디자인 레퍼토리에 속하는 것으로 간주되며, 이러한 디자인이 필요한 모든 고객에게 제공될 수 있습니다 (예: VectorBuilder의 백본 중 하나에 RefSeq 유전자를 구동하는 VectorBuilder의 인기 프로모터 중 하나를 포함하여 디자인된 벡터).  Vectors designed on VectorBuilder’s online platform and consisting entirely of standard components available on the platform are considered as belonging to VectorBuilder’s design repertoire and may be made available to any customer needing such designs (e.g., a vector designed with one of VectorBuilder’s backbones containing one of VectorBuilder’s popular promoters driving a RefSeq gene).
• VectorBuilder는 VectorBuilder에서 디자인하거나, VectorBuilder에서 제작하거나, VectorBuilder에 보관된 벡터의 통계적 특성을 수집, 분석 및 게시할 수 있습니다 예를 들어 생성된 벡터 카테고리 (예: 제작된 모든 벡터 중 렌티바이러스 벡터의 비율), 벡터 서열의 오류율, 고객 만족도에 대한 피드백 등이 여기에 포함됩니다. 이러한 정보는 개별 벡터 및 해당 벡터가 속한 고객의 식별 정보 및 고유 속성을 완전히 제거하기 위해 삭제됩니다. 고객 신원, 실험 설계, 주문 내역 등 모든 고객 정보는 엄격하게 기밀로 유지됩니다.  VectorBuilder may collect, analyze, and publish statistical properties of the vectors designed on VectorBuilder, constructed by VectorBuilder, or deposited to VectorBuilder, such as categories of vectors encountered (e.g., percentage of lentiviral vectors among all the vectors created), error rates in vector sequences, feedback on customer satisfaction, etc. Such information will be sanitized to completely remove any identifying information and proprietary properties of individual vectors and the customers they belong to. All customer information, such as customer identity, experimental design, and order history, is kept strictly confidential.
• VectorBuilder에서 제조 및 판매하는 벡터, 바이러스, 라이브러리, 안정 세포주, LNP 등을 포함하되 이에 국한되지 않고, VectorBuilder에서 구매한 제품 (커스텀 제작 포함)의 경우 고객은 VectorBuilder와의 별도 계약에서 달리 규정하지 않는 한, 원본 형태, 복제본, 분주 또는 재포장 형태 등 어떠한 형태로든 이를 제3자에게 재판매하지 않기로 동의합니다.  For products (including custom-made ones) purchased from VectorBuilder, including but not limited to vectors, viruses, libraries, stable cell lines, and LNPs manufactured and sold by VectorBuilder, customers agree not to resell them in any form, including in their original form, as copies, as aliquots, or in repackaged form, to any third party, unless stipulated differently in a separate agreement with VectorBuilder.
• VectorBuilder는 MiniVec™ 시스템, MuteFree™ AAV 시스템, 신규 프로모터 서열, 신규 AAV 캡시드 서열, 코돈 최적화된 유전자 서열, 독자적인 바이러스 패키징 플라스미드 (예: LentiBuilder™ 시스템), VectorBuilder 독자적인 제형의 LNP, BACYAC 시스템 및 여러 엔지니어링된 세포주를 포함하되 이에 국한되지 않고 특정 독자적인 벡터 시스템, 서열 (핵산 및 아미노산), ​​세포주, 시약, 제형, 제조방법 및 분석방법과 관련된 지적재산권을 보유하고 있습니다. 이들의 사용에는 제한이 있을 수 있으며, VectorBuilder로부터 별도의 라이선스가 필요할 수 있습니다.  VectorBuilder owns the intellectual properties relating to certain proprietary vector systems, sequences (nucleic acid and amino acid), cell lines, reagents, formulations, and manufacturing and analytical methodologies, including but not limited to the MiniVec™ system, MuteFree™ AAV system, novel promoter sequences, novel AAV capsid sequences, codon-optimized gene sequences, proprietary virus packaging plasmids (e.g., LentiBuilder™ system), LNPs with VectorBuilder’s proprietary formulation, the BACYAC system, and a number of engineered cell lines. Their use may be subject to restrictions and may require separate licenses from VectorBuilder.
• 일부 벡터 구성요소에는 제3자의 지적재산권이 포함될 수 있습니다. VectorBuilder는 사용자의 편의를 위해 참고 자료로 이러한 구성요소의 공개 서열 정보를 제공하고 있습니다. 커스텀 제작 벡터에서 이러한 구성요소를 사용하는 것은 전적으로 고객의 재량과 책임에 따라 이루어집니다. VectorBuilder로부터 이러한 구성요소가 포함된 벡터를 구매함으로써 고객은 VectorBuilder에 해당 벡터를 제조하도록 위탁할 수 있는 권리를 포함하여 필요한 모든 지적재산권 라이선스를 취득했다는 것을 인정합니다.  Some vector components may involve third-party intellectual property. VectorBuilder may provide publicly available sequence information of such components to its users solely as a reference for the users' convenience. Utilization of such components in custom-built vectors is done solely at the customer's discretion and liability. By purchasing vectors containing such components from VectorBuilder, the customers acknowledge that they have obtained all the necessary intellectual property licenses, including the rights to be able to contract VectorBuilder to manufacture the vectors.
• Tet 유도 시스템은 Tet3G를 제외하고는 특허가 만료되었습니다. VectorBuilder는 TET Systems로부터 라이센스를 받아 특허받은 Tet3G 서열을 포함한 벡터를 제작하고 있습니다. 학술 연구기관은 해당 벡터를 구매할 경우 내부 학술 연구 목적으로 자동 라이선스를 부여받습니다. 상업적 사용자 또는 영리기관의 후원을 받는 학술 사용자는 이러한 벡터를 사용하려면 TET Systems의 라이선스가 필요합니다.  The Tet-inducible system is off-patent except for Tet3G. VectorBuilder has a license from TET Systems to create vectors containing the patented Tet3G sequences. Academic research institutions are granted an automatic license with the purchase of such vectors for internal academic research. Commercial users or academic users sponsored by for-profit organizations need a license from TET Systems in order to use such vectors.
