계약 조건

  • 본 주문으로 고객은 여기에 기재된 계약 조건에 따라 지정된 가격으로 해당 주문에 기술된 서비스/제품을 제공하도록 VectorBuilder와 계약하는 것입니다. By placing the order, the customer contracts VectorBuilder to deliver services/products as listed in the corresponding order at the specified price under the terms and conditions described here.
  • 계약 조건이 고객과 VectorBuilder 간의 별도 계약(예: MSA, SOW 등)과 충돌하는 경우 별도 계약이 우선 합니다.  If the terms and conditions here conflict with separate agreements between the customer and VectorBuilder (e.g. MSA, SOW, etc.), the latter should predominate.
  • 별도로 계약에 명시한 경우를 제외하고 기본 지불 기간은 Net30 입니다.  Except specifying in supplementary agreement, our default payment term is Net30.
  • 예상 소요시간은 생산 시작부터 완료까지의 시간으로 정의되며, 고객이 제공한 시료를 입수하고 QC하는데 소요되는 시간이나 최종 산물을 고객에게 배송하는데 걸리는 시간은 제외합니다.  Estimated turnaround time is defined as the time from initiation to completion of production, which does not include the time required to obtain and QC customer-provided materials, or the time to ship final deliverables to the customer.
  • 만일 주문 내용에 순차적으로 발생하는 여러 서비스가 포함되어 있는 경우, 서비스에 대한 소요시간은 선행 서비스를 완료하는데 필요한 시간은 포함되지 않습니다 (예: 바이러스 패키징 소요 시간에는 바이러스 패키징에 사용된 바이러스 벡터 클로닝 시간은 포함되지 않음).  If the order contains several services that must occur sequentially, the turnaround time given for a service does not include the time needed to complete the preceding services (e.g. the virus packaging turnaround time does not include the time for cloning the viral vector used for virus packaging).
  • 예상 소요시간을 맞추기 위해 최선의 노력을 다하겠지만, 지연을 유발할 수 있는 예기치 않은 상황을 배제할 수는 없습니다 (예: 벡터가 호스트 E.coli에 대한 독성 또는 재조합 경향으로 인해 구축하기 어렵거나, 바이러스가 세포 독성, 비리온 불안정성 또는 패키징 과정에 방해를 유발하는 GOI 발현으로 인해 예상 titer 달성이 어려운 경우). 이런 경우가 발생하면 지연을 최소화하기 위해 최선을 다할 것입니다. 배송 관련 지연은 당사의 통제 범위를 벗어나므로 책임지지 않습니다.  We will strive to meet the estimated turnaround time, but cannot fully rule out unforeseen circumstances that might cause delays (e.g. a vector is difficult to construct due to its toxicity to host E. coli or tendency to rearrange, or a virus is difficult to achieve expected titer due to the GOI expression giving rise to cell toxicity, virion instability, or its interference with the packaging progress). Should this occur, we will try our best minimize the delay. We are not responsible for any shipment-related delays as they are outside of our control.

On rare occasions however, the finished vector could contain slight differences from the original design in nonfunctional regions due to changes in cloning strategy. Should this occur, we will consider the vector as fulfilling our contractual obligation, and will notify the customer of the revised sequence. Very rarely, functional regions of a vector could contain mutations relative to the original design due to sequence polymorphisms in our template DNA used during vector cloning. Should this happen, we will notify the customer of the revised sequence. If the mutations are silent coding changes, we will consider the vector as fulfilling our contractual obligation. If the mutations are non-silent coding changes or are in noncoding functional regions, we will give the customer the option to remake the vector without additional charge. Please note that because some of our templates originate from natural sequences such as cDNA, any polymorphisms on them, including non-silent coding changes, should be compatible with function. For very large vectors (e.g. BAC, adenovirus, HSV, and vaccinia virus), the actual sequence may differ from the theoretical sequence in regions not essential for the intended use of the vector such as the backbone.

In rare cases, this assumption could turn out to be incorrect, in which case we have to synthesize the template de novo at a much higher cost. Should this happen, we will inform the customer of the higher cost. The customer can choose to cancel the vector or proceed with the higher cost. In the latter case, we will send the customer a supplemental quote for the additional cost.
  • 서비스 완료를 위해 고객이 제공하는 시료(예: 벡터 클로닝을 위한 DNA 템플릿, 바이러스 패키징을 위한 바이러스 벡터, 안정적인 세포주 생성을 위한 세포주 등)가 필요한 경우 고객은 메뉴 항목 "서포트" > "시료 제출 양식"의 가이드라인에 따라 시료를 준비하고 VectorBuilder로 보내야 합니다. 고객은 제공된 시료의 신원에 대해 전적으로 책임이 있습니다. VectorBuilder는 생산을 시작하기 전에 고객이 제공한 시료의 표준 QC를 수행하지만 그러한 QC는 시료의 신원을 완전히 검증하지 못할 수 있습니다. 시료의 부정확성으로 인해 생산 또는 판매 후 문제가 발생하는 경우(예: 이론적인 서열과 관련된 템플릿 DNA 돌연변이) VectorBuilder는 이러한 문제에 대해 책임을 지지 않습니다.  When customer-provided material is required for completing the service (e.g. DNA template for vector cloning, viral vector for virus packaging, cell line for stable cell line generation, etc.), the customer should follow the guidelines under menu item "Support" > "Materials Submission Form" to prepare and send the material to VectorBuilder. The customer is fully responsible for the identity of the material supplied. Although VectorBuilder will perform standard QC of the customer-provided material before initiating production, such QC may not be able to fully validate the identity of the material. Should any production or post-sales issues arise due to the incorrectness of the material (e.g. template DNA mutations relative to the theoretical sequence), VectorBuilder is not responsible for such issues.
  • 리스크가 큰 프로젝트의 드문 경우로, 프로젝트 시작 전 위험 수준에 따라 일부 또는 전액 환불되지 않는 결제가 필요할 수 있습니다. 이러한 프로젝트는 시작하기 전에 고객에게 승인을 요청합니다. 당사는 적절한 경우 재시도와 대안적 접근 등 프로젝트를 성공적으로 완료할 수 있도록 최선을 다합니다. 그러나 이러한 프로젝트의 리스크를 고려할 때 성공은 보장하지 않습니다.  In rare cases of highly risky projects, partial or full nonrefundable payments may be required depending on risk levels prior to project initiation. Customer approval will be requested before initiating such projects. We will make every effort to complete the projects successfully, including redos and alternative approaches where appropriate. But given the risky nature of such projects, success will not be guaranteed.
  • 벡터를 최적화하기 위해 광범위한 R&D 작업을 수행했음에도, 벡터의 생물학적 복잡성이나 적용되는 모델 시스템으로 인해 벡터가 의도한 대로 작용하지 않을 가능성이 남아 있습니다. 따라서 당사는 발현, 단백질 기능, 녹아웃, 녹다운 등을 포함하여 당사가 생산하는 벡터의 특정 생물학적 결과를 보장하지 않습니다. 여기서 벡터는 플라스미드, BAC, mRNA, 바이러스 및 화학적으로 패키징된 DNA 및 RNA를 포함하되 이에 국한되지 않고 세포 및 유기체에 유전 물질을 전달하는데 사용되는 모든 전달체를 의미합니다.  While we have done extensive R&D work to optimize our vectors, it remains possible that a vector will not perform as intended due to biological complexity of the vector or the model system in which it is applied. We therefore cannot guarantee particular biological outcome of the vectors we produce, including expression, protein function, knockout, knockdown, etc. Here, vectors refer to all the vehicles used to deliver genetic materials into cells and organisms, including but not limited to plasmids, BACs, mRNAs, viruses and chemically packaged DNA and RNA.
  • 바이러스 패키징 서비스의 경우, 바이러스로 패키징되는 부위가이 바이러스 벡터의 각 타입에 대해 권장되는 상한 범위 미만인 벡터에만 titer 보증이 적용됩니다(아래 표 참조). 이 범위를 넘는 사이즈의 경우 벡터를 바이러스에 패키징하는 것이 가능할 수도 있지만, 원하지 않는 효과가 발생할 수도 있습니다.  For virus packaging service, our titer guarantee only applies to vectors for which the region being packaged into virus is below the recommended upper range for each type of viral vector (see table below). For sizes over this range, it may still be possible to package the vector into virus, but undesired effects may occur.

    • 독성 유전자(예: proapoptotic gene), packaging cell이나 바이러스의 integrity를 손상시키는 유전자(예: cell aggregation을 유발하는 막 단백질) 및 rearrangements나 이차구조로 되기 쉬운 서열 (예: repetitive 또는 높은GC-rich 서열)과 같은 패키징 프로세스에 불리한 영향을 미칠 수 있는 서열을 포함한 벡터.  Vectors containing sequences that could adversely affect the packaging process such as toxic genes (e.g. proapoptotic genes), genes that compromise the integrity of packaging cells or virus (e.g. membrane proteins that cause cell aggregation), and sequences prone to rearrangements or secondary structures (e.g. repetitive or highly GC-rich sequences).
    • 고객이 벡터를 제공하는 경우 벡터 품질 및 당사의 패키징 시스템과 호환성에 대한 컨트롤이 없기 때문에 titer를 보증할 수 없습니다. Packaging of customer-supplied vector because we have no control over the quality of the vector and the compatibility of the vector with our packaging system.
    • AAV serotype 3, 4 는 다른 serotype에 비해 titer가 낮습니다. 따라서 이들 serotype의 경우에는 위에 기재된 최소 역가(minimum titer)의 50%만을 보증합니다. AAV serotypes 3, 4 tend to have lower yields than other serotypes. As such, we can only guarantee 50% of the minimum titers specified in the table for these serotypes.
  • VectorBuilder는 shRNA(3+1) 바이러스 패키징 서비스에 대한 knockdown 보증을 제공합니다. VectorBuilder의 추천된 상위 3개로 제작된 shRNA 중 목적유전자(GOI)의 70% 이상 knockdown효율을 달성한 shRNA가 하나도 없을 경우 고객은 서비스 가격의 1/3에 해당하는 스토어크레딧을 받을 수 있습니다. 본 서비스 보증을 받기 위해서는 권장하는 상위 3개의 shRNA를 선택해야 합니다.
  • 예측하지 못한 생물학적 어려움 (예: 구축할 벡터에 매우 불안정한 서열이 포함되어 있거나, 패키징할 바이러스가 독성 유전자를 포함하거나, 조작할 세포주가 필수 유전자의 기능이 손실되어 생존이 어려운 경우)으로 인해 주문한 내용이 완료되지 않은 경우, 또는 어떤 이유로 고객이 제공한 시료를 사용하여 주문을 이행할 수 없는 경우(예: 고객의 바이러스 벡터가 제대로 패키징되지 않는 경우), 고객은 결과에 관계없이 수행된 주문 부분에 대해 지불할 책임이 있습니다. 만약 고객이 최초 주문에서 약정하지 않은 새로운 조건을 제시하면, 당사는 시도는 하지만 그러한 조건을 완수할 것을 약속할 수는 없고, 고객에게 추가 비용을 부담하도록 요청할 수 있습니다.  If an order cannot be completed due to unforeseen biological difficulties (e.g. the vector to be constructed contains highly unstable sequences, or the virus to be packaged carries a toxic gene, or the cell line to be engineered can hardly survive after the loss-of-function of an essential gene), or if an order cannot be fulfilled using customer-supplied materials for any reason (e.g. the viral vector from the customer cannot be properly packaged into virus), the customer is responsible for paying for the portion of the order that has been performed irrespective of outcome. If the customer makes new requirements not stipulated in the original order, we may try but cannot promise to fulfill such requirements, and we may ask the customer to share any added cost.
  • 프로젝트를 취소하는 고객은 아직 수행되지 않은 프로젝트의 부분에 대해서만 store credit을 받을 수 있습니다. 고객은 환불되지 않고 소멸되지 않는 store credit을 구매할 수 있습니다. 이는 VectorBuilder의 어떤 제품이나 서비스를 구매하는 데 사용할 수 있습니다. Credit 기록이 확인되지 않거나 손상된 고객에 대해서는, 당사는 작업 개시 또는 최종 산물의 운송 전에 주문에 대한 일부 또는 전체 결제를 요청할 수 있는 권리를 보유합니다. 고가이거나 어려운 프로젝트를 포함한 주문은 작업 개시 전에 부분 또는 전체 결제를 요청할 수 있습니다.  Customers canceling projects are only eligible for store credit covering the portion of the project that has not been performed. Customers can also purchase store credit, which is nonrefundable and does not expire. It can be used to buy any VectorBuilder products and services. For customers with unknown or compromised credit history, we reserve the right to request partial or full payment for their purchase orders (POs) before initiation of work or shipment of final deliverable. Orders containing expensive or difficult projects may also require partial or full payment before initiation of work.
  • 주문 완료 및 배송 후 VectorBuilder는 일반적으로 고객과의 별도 계약에 명시되지 않는 한, 남은 제품의 상태를 보증하지 않으면서 최대 6개월 동안 보관합니다. 고객이 소유한 제품을 적절하게 유지 관리하는 것은 고객의 책임입니다.  Upon completion and delivery of the order, VectorBuilder usually archives any leftover products for up to 6 months without guaranteeing the product condition, unless specified in a separate agreement with the customer. It is the customer’s responsibility to properly maintain the products in their possession.
  • 주문을 생산하는 동안 VectorBuilder는 생산을 계속하기 위해 고객에게 중요한 정보를 요청할 수 있습니다. 고객이 30일 이내에 응답하지 않으면 VectorBuilder는 주문을 종료하고 전체 주문 금액까지 발생한 비용을 고객에게 청구할 수 있습니다.  During production of the order, VectorBuilder may ask the customer for critical input in order to continue with production. If the customer fails to respond within 30 days, VectorBuilder may terminate the order and invoice the customer for the cost incurred up to the full order value.
  • 주문을 함으로써 고객은 병원성, 감염성 또는 독성을 띠거나 인간의 건강과 공공 안전에 위험을 초래하는 시료를 VectorBuilder에 의해 제조되는 것을 고의로 요청하지 않았음을 인정합니다. 고객은 또한 VectorBuilder의 결과물을 활용하는 연구가 생물학 무기 개발을 위한 것이 아니며 윤리적인 방식으로 수행되며 해당 법률과 규정을 완전히 준수한다는 점을 인정합니다.  By placing the order, the customer acknowledges that they have not knowingly requested the creation of materials by VectorBuilder that are pathogenic, infectious or toxic, or otherwise pose a risk to human health and public safety. The customer further acknowledges that their research utilizing VectorBuilder's deliverables is not intended for biological weapons development, is conducted in an ethical manner, and in full compliance with applicable laws and regulations.
